End User License Agreement

1. Grant of License

Brandtworks-Enterprises LLC ("BWE") grants you a non-exclusive, non-transferable, revocable license to use the website, software, and services ("Services") provided to you for the purposes described in your service agreement. This license is personal to you and may not be transferred, sold, or assigned to any third party.

2. Restrictions

You may not:

• Reverse engineer, decompile, or disassemble any portion of the Services
• Modify, adapt, or create derivative works based on the Services
• Remove or obscure any proprietary notices, labels, or marks on the Services
• Use the Services for any unlawful purpose or in violation of any applicable laws or regulations
• Attempt to gain unauthorized access to the Services or their underlying systems
• Use the Services to transmit malware, viruses, or other malicious code
• Resell, redistribute, or sublicense the Services without prior written consent

3. Ownership

BWE retains all right, title, and interest in the Services, including all intellectual property rights. Any content, code, templates, or materials created as part of your website are provided under this license. You own the content and data you provide to BWE, but BWE retains ownership of the underlying platform, design systems, and proprietary technology.

4. Support and Maintenance

BWE provides technical support as described in your service agreement. Support includes assistance with site functionality, hosting management, and form submission handling. Content updates, custom development work, and feature requests may be considered separately under a care plan or dedicated support arrangement.

5. Third-Party Services

The Services may integrate with third-party platforms and services (including but not limited to domain registrars, hosting providers, payment processors, and form submission handlers). Your use of these third-party services is governed by their respective terms of service and privacy policies. BWE is not responsible for the availability, performance, or security of third-party services.

6. Limitation of Liability

To the maximum extent permitted by law, BWE shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Services, even if BWE has been advised of the possibility of such damages. BWE's total liability for any claims arising from this agreement shall not exceed the fees you have paid to BWE in the twelve (12) months preceding the claim.

7. Disclaimers

The Services are provided "as is" without warranties of any kind, either expressed or implied. BWE disclaims all warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. BWE does not warrant that the Services will be error-free, uninterrupted, secure, or meet your specific requirements.

8. Uptime and Service Availability

While BWE strives to maintain reliable service, we do not guarantee 100% uptime. Scheduled maintenance and emergency repairs may require temporary service interruptions. BWE is not liable for damages resulting from service outages, data loss, or other issues beyond our reasonable control.

9. Term and Termination

This license is effective until terminated. BWE may terminate this license at any time if you breach any provision of this agreement or applicable law. Upon termination, you must cease all use of the Services. Termination does not affect your right to access content and data that belongs to you, subject to applicable retention policies.

10. Changes to Services and Terms

BWE reserves the right to modify, suspend, or discontinue the Services (or any part thereof) at any time. BWE also reserves the right to update these terms at any time. Changes will be effective upon posting to the site. Your continued use of the Services constitutes acceptance of any updated terms.

11. Governing Law

This agreement shall be governed by and construed in accordance with the laws of the State of Oregon, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in Lane County, Oregon.

12. Entire Agreement

This End User License Agreement, together with your service agreement and the Privacy Policy, constitutes the entire agreement between you and BWE concerning the Services and supersedes all prior agreements, understandings, and negotiations, whether written or oral.

13. Severability

If any provision of this agreement is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
